1. Agreement

This website at stomni.com (the "Site") is operated by STO Enterprises LLC, a limited liability company organized under the laws of the State of Wyoming, United States of America ("Stomni," "we," "us," or "our"). By accessing or using the Site, you ("you" or "user") agree to be bound by these Terms of Service (the "Terms") and by our Privacy Policy, which is incorporated by reference.

If you do not agree with these Terms, please do not use the Site.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

2. What the Site Is

Stomni.com is the marketing and information website for Stomni, a consultancy that builds AI automation systems for finance teams at mid-market enterprises. The Site exists to describe our services, share our point of view, let visitors learn about our team, and allow prospective clients to book a scoping call with us.

The Site is not a software product, a SaaS application, an online course platform, a marketplace, or a community forum. There is no user registration, no login, no user account, no message board, and no content hosted or generated by visitors.

The content on stomni.com, including any blog posts, case studies, frameworks, or descriptions of our methodology, is provided for general informational purposes only. It is not legal advice, accounting advice, tax advice, audit advice, investment advice, or professional advice of any kind.

Any specific recommendation we make is made inside a formal engagement governed by a separate written agreement. Nothing on the Site constitutes a professional services engagement, and no advisor-client relationship is created by you reading the Site or submitting a form.

Before acting on anything you read on stomni.com, consult appropriate qualified professionals in your own jurisdiction.

4. Intellectual Property

4.1 Our content

All content on stomni.com, including text, graphics, logos, page layout, design, visual identity, source code, methodology descriptions, frameworks, and the underlying concepts expressed on the Site, is owned by Stomni or our licensors and is protected by copyright, trademark, and other intellectual property laws.

You may view the Site and share links to it freely. You may quote short passages with attribution for legitimate editorial, educational, or commentary purposes. You may not copy, reproduce, republish, modify, translate, or redistribute substantial portions of the Site's content for commercial purposes without our written permission.

"Stomni" and the Stomni logo are trademarks of STO Enterprises LLC. Nothing on the Site grants you a license to use our trademarks.

4.2 Your content

When you submit a form, email us, or otherwise send us information through the Site, you retain ownership of that information. You grant us a limited, non-exclusive, royalty-free license to use it solely for the purpose of responding to your inquiry, providing the services you have requested, and operating our business.

This license does not extend to using your information for any purpose beyond those described in our Privacy Policy. In particular, we do not claim ownership of any materials you send us, and we do not use submitted content to train public AI models.

You may link to stomni.com from your own website or in written communications, provided the link does not imply any endorsement, sponsorship, or affiliation that does not exist. You may not frame, iframe, embed, or otherwise incorporate stomni.com content inside another website or service without our written permission.

8. Engagements and Services

Any consulting, implementation, training, or other services that Stomni provides to a client are governed by a separate written agreement between Stomni and the client organization, including a statement of work, engagement letter, or master services agreement, together with any applicable data processing addendum.

These Terms of Service govern your use of the Site only. They do not constitute an offer of services, a service contract, or a commitment to deliver work. Nothing on stomni.com creates a contractual obligation on Stomni to provide services to any particular party.

Pricing, scope, timelines, deliverables, warranties, service levels, and acceptance criteria are defined exclusively in the engagement agreement and are not governed by these Terms.

9. Testimonials and Case Studies

Testimonials, quotes, and case studies published on the Site describe real engagements and reflect real outcomes approved by the client before publication. In cases where a client has requested confidentiality, identifying details may be replaced with generalized descriptions (for example, "CFO, European manufacturing firm") while preserving the underlying authenticity of the experience described. This practice is disclosed in our Privacy Policy.

If you have given a testimonial or been featured in a case study and you want it removed or amended, email info@stomni.com with "Testimonial Request" in the subject line. We will remove or amend the content within 14 business days of receiving a verified request from the individual or authorized company representative who originally provided it.

Results described in testimonials and case studies are specific to the clients and contexts in which they were achieved. They are not a guarantee that similar results will be achieved in your engagement.

10. Disclaimers

The Site and all content on it are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, Stomni disclaims all warranties, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation.

We do not warrant that the Site will be uninterrupted or error-free, that defects will be corrected, that the Site or the servers that make it available are free of viruses or other harmful components, or that any information on the Site is accurate, complete, or up to date.

Any reliance you place on content from the Site is strictly at your own risk.

11. Limitation of Liability

To the fullest extent permitted by applicable law, under no circumstances shall Stomni, its affiliates, officers, directors, employees, contractors, agents, or advisors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with your use of the Site, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or any other commercial damages or losses, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if Stomni has been advised of the possibility of such damages.

In jurisdictions that do not allow the exclusion or limitation of certain categories of damages, Stomni's liability is limited to the fullest extent permitted by applicable law.

Nothing in these Terms limits liability for fraud, willful misconduct, death, or personal injury where such limitation is prohibited by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Stomni and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Site, or your violation of any applicable law or the rights of any third party.

13. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or the Site (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales, excluding its conflict of laws principles.

Any dispute arising out of or in connection with these Terms or the Site, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration under the LCIA Rules, with the seat of arbitration in London, United Kingdom, in the English language, before a single arbitrator.

Nothing in this section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction where necessary to protect its rights pending the outcome of arbitration.

14. Termination

We may suspend or terminate your access to all or part of the Site at any time, for any reason, without notice and without liability to you. All provisions of these Terms which by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, indemnification, limitation of liability, and governing law.

15. Severability

If any provision of these Terms is found by a court or tribunal of competent jurisdiction to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Stomni regarding your use of the Site. They supersede any prior agreements or communications on the same subject.

These Terms do not replace or amend any separate written engagement agreement between Stomni and a client organization. Where an engagement agreement exists, it governs the specific services provided under it.

17. Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign these Terms in whole or in part to any affiliated entity, successor in interest, or acquirer of all or substantially all of our assets or business.
